Program Overview
Know a company that could benefit from Supplyco? Refer them and you'll both be rewarded—you receive $1,000, and they receive $1,000 off their first annual contract.
How it works:
- There is no cap on the number of referrals you can make.
- The $1,000 reward is issued upon signing of an annual contract by the referred company.
- The referred company must confirm they were introduced by you, either via a direct introduction or by naming you as their referrer during the sales process.
- The referred company receives $1,000 off their first annual contract.
- Rewards are subject to verification.
These Supplyco Referral Program Terms ("Terms") govern your participation in the Supplyco Referral Program ("Program") and set forth the conditions under which you may earn, receive, or forfeit rewards. By participating in the Program, you agree to these Terms.
1. Eligibility
Who Can Refer
The Program is open to any individual or business entity that:
- Is at least 18 years of age (or the age of majority in their jurisdiction)
- Provides accurate contact and payment information
- Agrees to these Terms
You do not need to be a Supplyco customer to participate. However, your reward type depends on your customer status (see Section 3).
Who Cannot Refer
You are not eligible to participate if:
- You are a current Supplyco employee, contractor, or immediate family member of such persons
- You are referring a company that you own, control, or are employed by
- You have previously been terminated from the Program for violation of these Terms
2. Qualified Referrals
A referral qualifies for a reward when all of the following conditions are met:
a) New Customer Requirement
The referred company must be a new Supplyco customer. A company does not qualify if:
- They are a current Supplyco customer
- They were a Supplyco customer within the past 12 months
- They are already in active sales discussions with Supplyco at the time of referral
- They have previously received a demo or proposal from Supplyco
b) Contract Requirement
The referred company must sign an annual contract with Supplyco with a minimum value of $10,000.
c) Attribution Requirement
The referred company must confirm your role in the introduction. This can occur through:
- A direct introduction (email, meeting, call) where you connect the referred company with Supplyco
- The referred company naming you as their referrer when first contacting Supplyco or during the sales process
- Other verifiable evidence of your introduction, at Supplyco's reasonable discretion
d) Good Standing Requirement
Both you and the referred company must remain in good standing throughout the referral process. The referred company must not cancel their contract within the first 90 days (see Section 5).
3. Rewards
Reward Amount
- You receive: $1,000
- The referred company receives: $1,000 off their first annual contract
Reward Type
Your reward type depends on whether you are a current Supplyco customer at the time the referred company signs their contract:
If you are a Supplyco customer:
Your $1,000 reward will be applied as a credit to your next invoice. If your next invoice is less than $1,000, the remaining credit will roll forward to subsequent invoices until fully applied. Credits are non-transferable and have no cash value.
If you are not a Supplyco customer:
Your $1,000 reward will be paid via ACH bank transfer to a U.S. bank account you designate. Before receiving your first cash payment, you must provide:
- A completed IRS Form W-9 (or W-8BEN for non-U.S. persons)
- Valid bank account information for ACH transfer
Supplyco does not pay rewards via check, PayPal, gift card, cryptocurrency, or other methods.
Reward Timing
Rewards are processed within 30 days after the referred company's contract is fully executed and payment terms are established. Supplyco reserves the right to delay reward processing to verify the validity of the referral.
No Cap on Referrals
There is no limit to the number of qualified referrals you can make or the total rewards you can earn.
4. Tax Responsibilities
For bill credit rewards (Supplyco customers):
Bill credits are generally treated as a rebate on your purchase and are not considered taxable income. Supplyco does not issue tax forms for bill credits.
For cash rewards (non-customers):
Cash rewards are considered taxable income. If you receive $600 or more in cash rewards in a calendar year, Supplyco will issue an IRS Form 1099-MISC (or 1099-NEC, as applicable) reporting your earnings. You are responsible for reporting all referral income on your tax returns, regardless of whether you receive a 1099.
Supplyco may be required to withhold taxes from your payments if you fail to provide a valid W-9 or if backup withholding otherwise applies.
Consult your tax advisor with any questions about how referral rewards may affect your taxes.
5. Clawback and Forfeiture
Supplyco reserves the right to reverse, withhold, or reclaim rewards under the following circumstances:
a) Early Cancellation
If the referred company cancels their contract within the first 90 days for any reason, Supplyco may:
- Reverse bill credits already applied to your account
- Deduct the reward amount from future payments owed to you
- Invoice you for cash rewards already paid
b) Fraudulent or Invalid Referrals
If Supplyco determines, in its sole discretion, that a referral was fraudulent, manipulated, or otherwise invalid, Supplyco may withhold or reclaim the associated reward. Examples include but are not limited to:
- Referring a company you own, control, or are employed by
- Referring a company that was already in contact with Supplyco
- Colluding with the referred company to artificially qualify for rewards
- Providing false information about your relationship with the referred company
c) Violation of Terms
If you violate any provision of these Terms, Supplyco may terminate your participation in the Program and forfeit any pending rewards.
6. Restrictions
Prohibited Activities
You may not:
a) Self-Referrals
Refer any company that you own, control, have a significant financial interest in, or are employed by. You may not create or use shell companies or intermediaries to circumvent this restriction.
b) Unauthorized Advertising
Promote Supplyco or distribute referral information through paid advertising channels (including but not limited to Google Ads, LinkedIn Ads, Facebook Ads, programmatic display, or retargeting) without prior written approval from Supplyco.
c) Misleading Promotion
Make false, misleading, or unsubstantiated claims about Supplyco's products, services, pricing, or capabilities. You may not imply that you are an employee, agent, or official representative of Supplyco.
d) Spam or Unsolicited Contact
Send unsolicited bulk emails, messages, or other communications promoting Supplyco. You may only share information about Supplyco with individuals or companies with whom you have a genuine pre-existing relationship.
e) Coupon and Deal Sites
Post referral information on coupon sites, deal aggregators, cashback platforms, or similar websites without prior written approval.
f) Trademark Misuse
Bid on Supplyco's trademarks or brand terms in paid search campaigns, or use Supplyco's name, logo, or trademarks in any way that suggests official endorsement or partnership without prior written approval.
Permitted Activities
You are encouraged to:
- Share information about Supplyco through personal conversations, emails, and meetings with contacts you know
- Introduce Supplyco to companies in your professional network
- Mention Supplyco in organic (non-paid) social media posts, provided you do not make misleading claims
- Speak about your experience with Supplyco at industry events and conferences
7. Information Sharing and Privacy
By participating in the Program, you authorize Supplyco to:
- Share your name and/or company name with referred companies to confirm the referral relationship
- Contact you regarding the status of your referrals and rewards
- Use anonymized or aggregated data about Program participation for internal analytics
You may revoke your authorization to share your information by contacting support@supplyco.ai. If you revoke authorization, you forfeit any pending referral rewards, and Supplyco may remove your referral records from its systems.

8. Program Changes and Termination
Modifications
Supplyco reserves the right to modify these Terms, change reward amounts, alter eligibility requirements, or otherwise update the Program at any time. Material changes will be posted to our website. Your continued participation in the Program after changes are posted constitutes acceptance of the updated Terms.
Changes will not retroactively affect rewards for referrals that qualified before the change took effect.
Termination
Supplyco may suspend or terminate the Program at any time, with or without notice. Supplyco may also terminate your individual participation in the Program if you violate these Terms or for any other reason at Supplyco's sole discretion.
Upon termination of the Program or your participation:
- Pending rewards for referrals that qualified before termination will be honored
- No new referrals will be accepted or rewarded
- Any credits remaining on your account will be applied to outstanding invoices
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPPLYCO'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE PROGRAM SHALL NOT EXCEED THE TOTAL REWARDS YOU HAVE EARNED UNDER THE PROGRAM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
SUPPLYCO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE PROGRAM, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, OR LOSS OF BUSINESS OPPORTUNITY.
10. Dispute Resolution
Any disputes arising out of or relating to these Terms or the Program shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in San Francisco, California, and the arbitrator's decision shall be final and binding.
You agree to bring any claims arising out of or relating to the Program on an individual basis only, and not as part of any class, consolidated, or representative action.
11. General Provisions
Entire Agreement. These Terms constitute the entire agreement between you and Supplyco regarding the Program and supersede any prior agreements or understandings.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
No Waiver. Supplyco's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Assignment. You may not assign or transfer your rights or obligations under these Terms without Supplyco's prior written consent. Supplyco may assign these Terms without restriction.
Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
